C.H. Robinson fell 10.85% on 5 October after agreeing to buy RXO for $5.8 billion. The buyer shed more than twice the value the target added.

$CHRW fell 10.85% on Monday, the S&P 500's worst performer, after agreeing to buy freight broker $RXO for about $5.8 billion. That took roughly $2.0 billion off its market value. RXO rose 22.5%, adding about $869 million. Taken together, the two companies were worth about $1.1 billion less at the close than on Friday.
The S&P 500 rose 0.68% on the same day, market-cap weighted, with 314 of its members up.
| Change | Market value change | Market cap at close | |
|---|---|---|---|
| C.H. Robinson | −10.85% | −$2.0B | $16.4B |
| RXO | +22.54% | +$0.87B | $4.7B |
Why RXO rose less than the premium
The announced terms valued RXO at $30.25 a share, a 29% premium to Friday's close. RXO closed at $28.65, up 22.5%.
Part of that gap is built into the deal. Under the standard election, each RXO share gets $17.25 in cash plus 0.0856 C.H. Robinson shares. With C.H. Robinson closing at $140.61, that mix works out to about $29.29. The buyer's own drop cut what it is paying, and RXO holders absorbed some of it. The deal is not expected to close until the first half of 2027.
Not the worst day of the year
On our daily price history, Monday's 10.85% fall is C.H. Robinson's third-largest one-day drop since March 2025. It fell 15.44% on 30 July and 14.54% on 12 February.
